1. Acceptance of These Terms

Welcome to Healing with Shaina.

These Terms & Conditions ("Terms") govern your access to and use of shainawilliams.com (the "Site") and the Educational Offerings provided by Williams Counseling & Consulting, LLC, doing business as (d/b/a) Healing with Shaina ("Healing with Shaina," "we," "us," or "our").

These Terms apply to all visitors, users, purchasers, and participants who access or use the Site or any Educational Offering.

By accessing or using the Site, purchasing an Educational Offering, creating an account, or otherwise engaging with our Educational Offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Disclaimer and Privacy Policy, which are incorporated into these Terms by reference.

If you do not agree to these Terms, you should not access the Site or participate in any Educational Offering.

2. Definitions

For purposes of these Terms:

"Site" means shainawilliams.com and any associated webpages, member portals, or digital platforms owned or operated by Healing with Shaina.

"Educational Offerings" means all educational programs, courses, practices, videos, audio recordings, guided exercises, downloadable materials, workbooks, digital content, emails, and other educational resources made available by Healing with Shaina, including Sit With It™ and its associated offerings, whether free or paid.

"User," "you," or "your" means any individual who accesses the Site or participates in an Educational Offering.

3. Eligibility

By using the Site or purchasing an Educational Offering, you represent and warrant that:

You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction.

You have the legal capacity to enter into a binding agreement.

The information you provide is accurate and complete.

You will use the Site and Educational Offerings only for lawful purposes.

If you are purchasing an Educational Offering for someone under the age of eighteen (18), you represent that you are the child's parent or legal guardian and accept responsibility for that individual's participation.

4. Educational Purpose

Healing with Shaina provides Educational Offerings designed to support learning, self-awareness, nervous system education, emotional awareness, and personal practice.

Our Educational Offerings are educational and experiential in nature. They do not constitute psychotherapy, counseling, medical care, healthcare services, legal advice, financial advice, or any other professional service.

Nothing contained within the Site or our Educational Offerings should be interpreted as creating a therapist-client, counselor-client, healthcare provider-patient, or other professional relationship.

Your participation is entirely voluntary.

Please review our Disclaimer for additional information regarding the intended use and limitations of our Educational Offerings.

5. Purchases & Payment

All prices are listed in United States Dollars (USD) unless otherwise indicated.

Payment is due at the time of purchase unless a payment plan is expressly offered.

We reserve the right to modify pricing, promotional offers, or available Educational Offerings at any time without prior notice. Such changes will not affect purchases already completed.

Payments are securely processed through third-party payment providers. By completing a purchase, you agree to comply with the terms and conditions of the applicable payment processor.

Healing with Shaina does not receive or store your complete credit card or payment information.

If you enroll in an Educational Offering using a payment plan:

You authorize all scheduled payments associated with your selected payment plan.

You remain responsible for completing all scheduled payments, regardless of your level of participation or completion of the Educational Offering.

Failure to complete required payments may result in suspension or termination of access to the applicable Educational Offering until your account is brought current.

Except where prohibited by law or expressly stated otherwise, all purchases are subject to the refund policy applicable to the Educational Offering at the time of purchase.

Healing with Shaina reserves the right to refuse or cancel any order when necessary to protect the security or integrity of the Site or Educational Offerings, to address suspected fraud or unauthorized transactions, or to comply with applicable law.

6. Lifetime Access

Unless otherwise expressly stated at the time of purchase, paid Educational Offerings include lifetime access to the purchased Educational Offering while it remains supported and made available by Healing with Shaina.

"Lifetime access" refers to the lifetime of the Educational Offering and its availability through our business and supporting technology. It does not guarantee perpetual availability regardless of future business, legal, or technological changes.

Healing with Shaina reserves the right to update, revise, improve, replace, discontinue, or retire any Educational Offering, platform, lesson, resource, or feature at its discretion. When reasonably practicable, we will endeavor to provide participants with reasonable notice of significant changes affecting access.

Lifetime access is provided solely to the original purchaser and may not be transferred, assigned, resold, shared, sublicensed, or otherwise made available to any other individual or entity.

Access to an Educational Offering may be suspended or terminated if these Terms are violated.

7. Intellectual Property

All Educational Offerings—including, without limitation, videos, audio recordings, guided practices, written lessons, workbooks, downloadable materials, graphics, logos, trademarks, service marks, course names, educational methodologies, organization, sequencing, text, designs, and other proprietary content—are owned by or licensed to Williams Counseling & Consulting, LLC, d/b/a Healing with Shaina and are protected by applicable United States and international intellectual property laws.

Nothing contained on the Site or within any Educational Offering transfers ownership of any intellectual property to you.

Unauthorized reproduction, distribution, modification, public display, publication, sale, licensing, or creation of derivative works from any Educational Offering is strictly prohibited without our prior written consent.

8. Limited License

Upon purchase or authorized access, Healing with Shaina grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Educational Offerings solely for your personal, non-commercial use.

This license does not permit you to:

Share your account credentials or provide access to another person.

Reproduce, copy, distribute, publish, sell, sublicense, or commercially exploit any Educational Offering.

Record, download (except where expressly permitted), upload, stream, or redistribute videos, audio recordings, or other proprietary materials.

Remove or alter any copyright, trademark, or proprietary notices.

Use any Educational Offering to create competing educational materials or derivative works.

Any rights not expressly granted in these Terms are reserved by Healing with Shaina.

9. User Conduct

By accessing the Site or participating in an Educational Offering, you agree to use the Site responsibly and lawfully.

You agree that you will not:

Violate any applicable law or regulation.

Use the Site or Educational Offerings for unlawful, fraudulent, or deceptive purposes.

Share, distribute, or otherwise make available your account credentials to another person.

Attempt to circumvent security measures or gain unauthorized access to the Site or member platform.

Copy, reproduce, scrape, modify, or redistribute Educational Offerings without prior written permission.

Upload, transmit, or distribute viruses, malicious code, or other harmful technology.

Interfere with the operation, security, or integrity of the Site or Educational Offerings.

Misrepresent your identity or impersonate another individual.

Healing with Shaina reserves the right to suspend or terminate access to the Site or any Educational Offering if we reasonably believe these Terms have been violated.

10. User Accounts

Certain Educational Offerings may require you to create an account through our member platform.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us promptly if you become aware of any unauthorized access to your account.

Healing with Shaina is not responsible for losses resulting from your failure to maintain the security of your account credentials.

We reserve the right to suspend or terminate accounts that violate these Terms or are used in a manner that compromises the security or integrity of the Site or Educational Offerings.

11. Third-Party Services

We may use trusted third-party providers to support the operation of our Site and Educational Offerings, including payment processing and course delivery.

These providers may include, but are not limited to:

PayPal

Content Creator Machine (CCM)

Your use of these third-party services may also be subject to their respective terms, conditions, and privacy policies.

Healing with Shaina is not responsible for the content, policies, availability, or practices of third-party platforms or services beyond our reasonable control.

12. Disclaimer of Warranties

Your use of the Site and participation in any Educational Offering is at your sole discretion and risk.

To the fullest extent permitted by applicable law, the Site and all Educational Offerings are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

Healing with Shaina does not warrant that the Site or any Educational Offering will be uninterrupted, error-free, secure, or free from harmful components, or that any Educational Offering will meet your individual expectations or produce any particular outcome.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Williams Counseling & Consulting, LLC, doing business as (d/b/a) Healing with Shaina, Shaina Williams, and their employees, contractors, affiliates, licensors, successors, assigns, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

Your access to or use of the Site;

Your participation in any Educational Offering;

Your reliance on information provided through the Site or Educational Offerings;

Any interruption, delay, or unavailability of the Site or Educational Offerings; or

Any unauthorized access to or alteration of your information beyond our reasonable control.

This limitation applies regardless of the legal theory asserted and even if we have been advised of the possibility of such damages.

Nothing contained in these Terms limits liability where such limitation is prohibited by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Williams Counseling & Consulting, LLC, d/b/a Healing with Shaina, Shaina Williams, and their employees, contractors, affiliates, licensors, successors, assigns, and representatives from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

Your use of the Site;

Your participation in any Educational Offering;

Your violation of these Terms;

Your violation of applicable law; or

Your infringement of the rights of any third party.

This obligation survives termination of these Terms and your access to the Site or Educational Offerings.

15. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

16. Venue

Any legal action or proceeding arising out of or relating to these Terms & Conditions, the Site, or any Educational Offering shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction and venue of those courts.

17. Changes to These Terms

Healing with Shaina reserves the right to modify these Terms & Conditions at any time.

Updated versions will be posted on the Site with a revised Effective Date. Your continued use of the Site or participation in any Educational Offering after revised Terms become effective constitutes your acceptance of the updated Terms.

18. Electronic Acceptance

By accessing the Site, creating an account, checking any box indicating your acceptance of these Terms, purchasing an Educational Offering, or otherwise using the Site or participating in an Educational Offering, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

You agree that your electronic acceptance of these Terms has the same legal force and effect as a handwritten signature, to the fullest extent permitted by applicable law.

19. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms & Conditions, together with our Disclaimer and Privacy Policy, constitute the entire agreement between you and Williams Counseling & Consulting, LLC, doing business as (d/b/a) Healing with Shaina regarding your access to and use of the Site and the Educational Offerings and supersede all prior or contemporaneous communications, representations, or agreements relating to the same subject matter.

No waiver of any provision of these Terms shall be effective unless made in writing. A failure by Healing with Shaina to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
